OpenWish Terms of Service

1. Agreement and eligibility

These Terms govern access to OpenWish, which is operated by Nwudu Inc ("OpenWish," "we," "us," or "our"). By using OpenWish, you agree to these Terms, the Privacy Notice, Community Guidelines, and any policies expressly incorporated here.

OpenWish is for people aged 18 or older. You must have legal capacity to enter this agreement and must not use the service where doing so is prohibited by applicable law. Organisations must ensure that the person acting for them has authority to bind them.

2. What OpenWish is

OpenWish is a communication and discovery service that helps a person describe a practical wish and connect privately with a person or organisation that may be willing to help.

OpenWish is not a charity, fundraiser, payment processor, marketplace, escrow agent, delivery company, employer, medical provider, housing provider, professional adviser, insurer, background-check service, or guarantor. OpenWish does not initially collect or distribute donations, process payments, arrange shipping, verify the truth of every statement, or guarantee that a wish will be fulfilled.

Users communicate and make their own independent decisions. Any arrangement, meeting, transfer of an item, provision of a service, or other interaction is strictly between the participating users.

3. Accounts and public identity

You must provide accurate account information, protect your credentials, and promptly report suspected unauthorised access. OpenWish assigns a generated public alias when an account is created. If you sign in with a provider such as Google, the profile photo from that provider is used as your public avatar, and you can change it at any time by uploading a different photo in your profile. Provider-supplied names and email addresses remain private unless you deliberately choose to publish them. The generated alias is shown on wishes and in chat by default.

You may change an alias or avatar subject to availability, safety rules, reserved words, impersonation controls, and reasonable change limits. OpenWish may rename or remove an alias or avatar that violates these Terms or another person’s rights. An alias is not property, a trademark grant, or proof of identity, and changing it does not erase account or enforcement history.

A public “Anonymous” setting hides your public identity from other users for the relevant activity; it does not make you anonymous to OpenWish, its service providers, or lawful authorities.

Identity verification, when available, confirms only that a verification provider matched a person to identity evidence. It does not mean that OpenWish endorses, approves, guarantees, or considers that person safe or trustworthy.

4. Wishes and user content

4.1 What you own

You retain ownership of the content you submit to OpenWish (“Your Content”): your wishes and their revisions, comments, profile information, avatar, images, files, messages, and anything else you post or upload. Nothing in these Terms transfers that ownership to us.

4.2 Public Content and our licence to use it

“Public Content” is any part of Your Content that is, or is meant to be, visible beyond a single private conversation. That includes published wishes (in the version you approved, including after any AI rewrite), their category, status, and general location; comments; your public alias, avatar (including a profile photo from your sign-in provider when it is your avatar), bio, and badges; your first name and profile details if you chose to show them; and images or files you choose to make public.

You give OpenWish a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable licence, with the right to grant sublicences through multiple tiers, to use Public Content in any way and in any media now known or later developed. This includes the right to host, store, reproduce, display, perform, publish, distribute, index, excerpt, translate, reformat, crop, caption, summarise, adapt, combine, and make derivative works from it, including with automated tools; to submit it to search engines and optimise it for search; to feature it on our website, apps, emails, advertisements, and social-media accounts and to create posts, images, videos, collections, and other material from it; to promote OpenWish and its partners; and to earn revenue from it, including through advertising, sponsorship, partnerships, and licensing Public Content to others. We may sublicense these rights to partners, platforms, and service providers who help us do these things. We may do all of this without further notice and without paying or crediting you. Public wishes may therefore appear in search engines, social previews, category pages, partner materials, and cached or archived copies. This applies to content you submit on or after October 3, 2026; Section 4.6 explains content you submitted earlier.

We will not use wishes in the health-support category, wishes our systems rate as highly sensitive, or anything that appears to identify a child, in advertising, sponsorship, partner materials, or licences to others.

We respect your identity setting. If you publish a wish as “Anonymous,” we will not attach your alias, avatar, or profile to our uses of that wish, and we will not feature your own comments on it. The setting applies to wishes; a comment you write is shown with your alias. Featuring or promoting a wish does not mean that we endorse it or guarantee any outcome.

To the extent the law allows, you waive, and agree not to assert, any moral rights in Public Content against OpenWish and its licensees for the uses described in this Section.

4.3 Private Content

“Private Content” means content you share only inside a private conversation; supporting documents you upload through the private upload flow; your email address; sign-in provider information (other than a profile photo you use as your avatar); verification information; and wallet connection details. Private Content is not Public Content. For Private Content you give OpenWish a worldwide, non-exclusive, royalty-free licence to host, store, process, scan, moderate, and use it as needed to operate and secure the service, deliver it to the people you send it to, enforce these Terms, comply with the law, and improve safety. We do not publish, license, or sell Private Content.

4.4 AI and automated tools

We may use automated systems, including AI, to review, rewrite, categorise, tag, translate, summarise, and format Public Content, and to generate pages, images, captions, and posts from it. We do not use Your Content to train our own general-purpose AI model, and we do not license Public Content to a third party for training a general-purpose AI model, unless we have told you and, where the law requires, obtained your consent.

AI may suggest a clearer version, category, urgency level, or safety changes. You must review and approve a rewritten wish before publication. AI output can be wrong and is not legal, medical, financial, employment, or other professional advice.

4.5 Editing, deleting, and what remains

You can change the wording of your wishes, and remove a wish that is not yet fulfilled, from inside the app. To remove a fulfilled wish or a comment, or to close your account, write to privacy@openwish.org and we will act within 30 days. When content is removed, we stop displaying it on OpenWish and stop making new uses of it within a reasonable time. Copies that were already shared, indexed, cached, or archived, material already published (such as social posts, emails, and partner materials), and backups may remain, and our licence continues for them. Where the law gives you a right to erasure, we will honour it as the Privacy Notice describes.

4.6 Content you submitted before this update

This Section 4, as updated on October 3, 2026, applies to content you submit on or after that date. For Public Content you submitted earlier, it applies 30 days after we notify you of this update by email or in the app. Until then, the licence you gave under the previous version of these Terms continues to apply. If you do not agree, you can remove that content, or write to us to remove it or to close your account, before then.

4.7 Your responsibilities

You confirm that you have the right to give the licences in this Section. You must have the rights and permissions needed to submit content. Do not publish home addresses, account credentials, identification numbers, private medical records, photos or identifying details of children, health details about other people, or another person’s confidential information in a public wish. Supporting documents must use the private upload flow.

5. Prohibited conduct

You may not use OpenWish to:

• •request, offer, send, or solicit money, cash equivalents, gift cards, cryptocurrency other than NHBCoin sent through OpenWish's own NHBCoin feature (see Section 5a), advance fees, investments, loans, or payment credentials;
• •impose conditions on help, demand repayment, or use help to obtain labour, sexual activity, political support, religious participation, personal data, passwords, access codes, or another improper benefit;
• •commit fraud, impersonation, exploitation, trafficking, harassment, discrimination, stalking, coercion, threats, or violence;
• •facilitate illegal goods, controlled substances, weapons, evasion of law, intellectual-property infringement, or other unlawful conduct;
• •request emergency, medical, legal, financial, immigration, or safety advice as a substitute for an appropriately qualified professional or emergency service;
• •scrape, spam, manipulate rankings, automate accounts without permission, bypass safeguards, reverse engineer security controls, or disrupt the service; or
• •upload malware or content that is unlawful, deceptive, abusive, sexually exploitative, or harmful to minors.

OpenWish may block messages, restrict features, remove content, preserve evidence, suspend or terminate accounts, and report conduct when reasonably necessary to protect users, the service, or comply with law.

5a. NHBCoin support (optional)

OpenWish integrates with NHBCoin (NHB), a currency pegged 1:1 to the US dollar (1 NHB = 1 USD) operated by NHBChain and built specifically for direct, person-to-person support — not a speculative or generally-tradable cryptocurrency. Where offered, a member may connect an NHBCoin wallet and send or receive NHB in connection with a wish.

NHBCoin support is offered only through OpenWish's own NHBCoin connection feature. It is never requested in a wish's own text, and Section 5's prohibition on requesting, offering, sending, or soliciting money, cash equivalents, gift cards, cryptocurrency, advance fees, investments, loans, or payment credentials continues to apply to everything else, including any cryptocurrency other than NHBCoin.

NHBChain, not OpenWish, holds wallets, private keys, and PINs, and settles every NHB transfer directly between members' own connected wallets. OpenWish does not custody NHB, does not set its value, and is not a party to the transfer.

6. Safety and user responsibility

Online and offline interactions carry risk. Verify claims independently. Keep communications on-platform until comfortable. Do not send money or credentials outside OpenWish's own NHBCoin feature (Section 5a). Do not meet alone in an unsafe place. For emergencies, contact the appropriate local emergency service.

To the fullest extent permitted by law, users assume responsibility for their interactions and release OpenWish and its affiliates from claims arising from user-to-user conduct, except where liability cannot lawfully be excluded.

7. Moderation and private communications

OpenWish uses automated systems, including AI, to process wishes, chats, attachments, reports, and behavioural signals for policy enforcement, fraud prevention, and safety. Automation may make mistakes. We may provide review, appeal, or reporting mechanisms where required or appropriate.

Private means content is not publicly displayed; it does not mean content is immune from automated safety processing, authorised operational access, service-provider processing, legal preservation, or disclosure required by law. Nothing is shared with another user automatically when explicit consent is required by the product.

8. Fulfilment status

A helper may mark an offer complete, but a wish remains pending until the wisher confirms or OpenWish closes it under an applicable workflow. Status labels are informational and do not prove delivery, quality, legality, safety, or satisfaction.

9. Third-party services

OpenWish may use authentication, cloud hosting, storage, email, identity, analytics, AI, and notification providers. Their terms may apply to their services. OpenWish is not responsible for third-party products or external links except to the extent required by law.

10. Service changes and availability

OpenWish may add, change, suspend, or discontinue features and may impose reasonable limits for security, capacity, legal, or operational reasons. The service may be unavailable, delayed, or contain errors. We do not promise continuous availability or preservation of every item of content.

11. Disclaimers

To the maximum extent permitted by law, OpenWish is provided “as is” and “as available.” OpenWish disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and results. OpenWish does not warrant users, wishes, messages, identity claims, supporting documents, AI output, offers of help, or fulfilment outcomes.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

12. Limitation of liability

To the maximum extent permitted by law, OpenWish and its directors, personnel, affiliates, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of data, opportunity, goodwill, profit, or expected benefit; or harm arising from another user, off-platform conduct, reliance on content, or unauthorised access.

OpenWish’s aggregate liability relating to the service will not exceed the greater of the amount the claimant paid OpenWish in the preceding 12 months or US $100. This limitation does not apply where prohibited by law, including liability that cannot lawfully be limited.

13. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless OpenWish and its affiliates from third-party claims, losses, and reasonable costs arising from your content, unlawful conduct, breach of these Terms, or violation of another person’s rights. This clause does not apply to consumers where prohibited and does not excuse OpenWish’s own unlawful conduct.

14. Termination

You may stop using OpenWish and request account closure. OpenWish may restrict or terminate access for policy violations, risk, legal requirements, prolonged inactivity, or discontinuation. Provisions that by their nature should survive will survive, including ownership, the licences in Section 4 (as limited by Section 4.5), disclaimers, liability limits, indemnity, disputes, and lawful records retention.

15. Governing law and disputes

These Terms and any dispute arising from OpenWish are governed by the laws of the State of Maryland and applicable United States federal law, without regard to conflict-of-law principles.

Before filing a claim, the person raising the dispute must send a written notice describing the issue and requested resolution to legal@openwish.org or Nwudu Inc, 1653 Evergreen Way, Essex, Maryland 21221, United States. The parties will attempt in good faith to resolve the dispute informally for 30 days after the notice is received.

Except where applicable law permits a claim to be brought elsewhere, the parties consent to the exclusive jurisdiction and venue of the state courts located in Baltimore County, Maryland, and the federal courts of the United States District Court for the District of Maryland. Either party may bring an eligible individual claim in small-claims court.

Mandatory consumer protections and rights that cannot lawfully be waived remain unaffected.

16. Changes

OpenWish may update these Terms. Material changes will be communicated by reasonable means and will state an effective date. Continued use after the effective date constitutes acceptance where permitted; fresh consent will be obtained where required.
